Req's JD or equiv & 2 yrs of exp drafting legal docs, incl amendments, restatements, & summary plan descriptions for pension, 401(k), & health & welfare plans (ERISA wrap plans & IRC Code Section 125 Plans); drafting due diligence reports, purchase agreements & ancillary agreements, employment contracts & other transaction rel. docs on matters pertaining to corp. law & employee benefits & exec. compensation; advising clients on drafting & implementation of cash & cash-based incentive progs, equity & equity-based awards incl stock option & restricted stock plans, & other transaction rel. incentive progs, incl retention, change in control & severance plans or agreements for pvt companies; assisting clients w/ eval. & admin. of retirement & health & welfare plans, incl prep of plan docs, summary plan descriptions, amendments, & corrective filings under applicable govt. correction progs; conducting diligence on clients' target entities & applicable employee benefit & exec. compensation plans, progs & agreements & summarizing diligence materials; preparing filings under IRS correction prog; preparing IRS qualified plan determination letter filings; & advising clients regarding material dvlpmts in law rel. to qualified retirement plans & health & welfare plans, to ensure compliance. Must be admitted to practice law in the State of PA. Telecommuting &/or wrk'g from home may be permissible pursuant to co. policies. Salary range: $365,000.00 - $390,000.00/yr. M-F, 40 hrs/wk.
